1. Acceptance of Terms

By accessing or using the Live Medica healthcare software platform ("Platform"), including all associated applications, services, and tools, you agree to be bound by these Terms & Conditions. If you do not agree, you must not access or use the Platform.

2. Authorized Use

The Platform is intended solely for use by authorized healthcare professionals, administrators, and staff within licensed healthcare facilities. You agree to:

  • Use the Platform only for lawful purposes related to healthcare operations.
  • Maintain the confidentiality of your login credentials and not share your account with any unauthorized person.
  • Immediately notify the system administrator of any unauthorized access or security breach.

3. HIPAA Compliance & Protected Health Information (PHI)

The Platform is designed to support compliance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable healthcare data protection regulations. Users acknowledge and agree that:

  • All Protected Health Information (PHI) accessed through the Platform must be handled in accordance with HIPAA Privacy and Security Rules.
  • Users shall not copy, download, transmit, or disclose PHI except as authorized by applicable law and institutional policies.
  • Any breach of PHI must be reported immediately to the designated Privacy Officer and system administrator.

4. Patient Data & Confidentiality

Users are responsible for maintaining the confidentiality and integrity of all patient data accessed through the Platform. Unauthorized access, disclosure, alteration, or destruction of patient records is strictly prohibited and may result in disciplinary action, termination of access, and legal consequences.

5. User Responsibilities

As a user of the Platform, you agree to:

  • Provide accurate and complete information when using the Platform.
  • Use the Platform in accordance with all applicable federal, state, and local laws and regulations.
  • Not attempt to interfere with, disrupt, or gain unauthorized access to any part of the Platform or its underlying systems.
  • Not introduce malware, viruses, or any harmful code into the Platform.
  • Log out of the Platform when leaving your workstation unattended.

6. Intellectual Property

All content, software, designs, logos, and materials within the Platform are the intellectual property of Live Medica and are protected by applicable copyright, trademark, and other intellectual property laws. Users may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent.

7. System Availability & Maintenance

While we strive to ensure continuous availability, the Platform may be temporarily unavailable due to scheduled maintenance, upgrades, or unforeseen technical issues. Live Medica shall not be held liable for any loss or damage arising from Platform downtime. Critical system maintenance will be communicated in advance whenever possible.

8. Audit & Monitoring

All activities on the Platform are logged and subject to auditing. Live Medica reserves the right to monitor usage to ensure compliance with these Terms, applicable regulations, and institutional policies. Audit logs may include user identity, timestamps, actions performed, and data accessed.

9. Limitation of Liability

The Platform is provided "as is" without warranties of any kind, either express or implied. Live Medica shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages arising from use of the Platform.
  • Clinical decisions made based on information accessed through the Platform. Healthcare professionals remain solely responsible for clinical judgment and patient care decisions.
  • Data loss resulting from user error, unauthorized access, or circumstances beyond our reasonable control.

10. Termination of Access

Live Medica reserves the right to suspend or terminate user access at any time, without prior notice, for violation of these Terms, security concerns, or any other reason deemed necessary to protect the integrity of the Platform and its data.

11. Third-Party Integrations

The Platform may integrate with third-party systems, including DICOM viewers, PACS, EMR/EHR systems, and other healthcare tools. Live Medica is not responsible for the performance, availability, or data handling practices of third-party services. Use of third-party integrations is subject to their respective terms and conditions.

12. Data Retention & Disposal

Patient data and system records are retained in accordance with applicable regulatory requirements and institutional data retention policies. Upon termination of service or as required by law, data will be securely disposed of following industry-standard data destruction practices.

13. Amendments

Live Medica reserves the right to modify these Terms & Conditions at any time. Updated terms will be posted on the Platform and users will be notified of material changes. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the licensed healthcare facility operates, without regard to conflict of law principles.
